1. Acceptance of Terms
By accessing, registering for, or using the Timpli platform (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and all applicable laws. These Terms constitute a legally binding agreement between you and Timpli.
If you do not agree to these Terms, you may not access or use the Service. By creating an account you confirm you are at least 18 years old and have legal capacity to enter this agreement.
Your continued use of the Service after any changes to these Terms constitutes acceptance of the updated Terms.
2. Service Description
Timpli is a cloud-based Software-as-a-Service (SaaS) appointment management platform that provides tools for scheduling, client management, reminders, and related business operations.
Important: Timpli provides software tools only. The Company does not deliver professional services of any kind, including medical, legal, financial, therapeutic, or consulting services. All professional services are delivered solely by the business owner or their staff, not by Timpli.
The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.
3. User Responsibilities
As a User of the Service, you are solely responsible for:
- Maintaining the confidentiality and security of your account credentials.
- All activities, transactions, and content that occur under your account.
- Ensuring that your use of the Service complies with all applicable laws and regulations.
- Obtaining all necessary consents from your clients and staff before collecting or processing their personal data.
- The accuracy, completeness, and legality of all data you enter into the Service.
- Any communications sent to your clients via the Service.
- Promptly notifying us of any unauthorized access or security breach affecting your account. support@timpli.io.
You agree not to use the Service for any unlawful purpose, to transmit spam or malicious content, or to interfere with the Service's normal operation.
4. Billing & Subscriptions
Access to certain features requires a paid subscription. By selecting a plan you authorize Timpli to charge subscription fees on a recurring basis to your payment method.
All subscription fees are:
- Quoted and billed in United States Dollars (USD).
- Due and payable in advance at the start of each billing cycle.
- Non-refundable except as provided in our Refund Policy.
- Subject to applicable taxes where required by law.
If payment fails we reserve the right to suspend or terminate access until balances are resolved. Plan features and pricing are subject to change with reasonable notice.
Payment processing is handled by third-party providers. We are not responsible for any errors, failures, or disputes arising from your payment provider.
5. Automatic Renewals
All Timpli subscriptions renew automatically at the end of each billing period at the then-current rate, unless you cancel before the renewal date.
You are responsible for managing your subscription and canceling before the renewal date if you do not wish to be charged for the next period. We do not refund charges following an automatic renewal.
To cancel, go to your billing settings or email billing@timpli.io. Cancellation takes effect at the end of the current billing period.
6. Account Suspension & Termination
We reserve the right to suspend or terminate your account, with or without notice, in the following circumstances:
- Failure to pay subscription fees when due.
- Violation of these Terms or any applicable policies.
- Conduct determined to be harmful to the Service, other users, or third parties.
- Fraudulent, illegal, or abusive use of the Service.
- At your request, to close your account.
- Discontinuation of the Service by the Company.
Upon termination, your right to access the Service will immediately cease. Suspension or termination does not relieve you of obligations to pay accrued fees.
If you believe your account was suspended in error, contact us at support@timpli.io to appeal.
7. Platform Availability (AS IS / AS AVAILABLE)
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. TIMPLI DISCLAIMS ALL WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free; that results will be accurate; or that defects will be corrected.
Planned and unplanned maintenance, infrastructure issues, or events outside our control may cause the Service to be temporarily unavailable. We are not liable for losses from such downtime.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIMPLI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:
- Missed, canceled, or unfulfilled appointments.
- Loss of revenue, profits, business, or anticipated savings.
- Loss of clients, data, goodwill, or reputation.
- Customer disputes or complaints arising from appointments.
- Failures or errors in third-party integrations (WhatsApp, email providers, etc.).
- Failures or delays in third-party payment processing.
- Any indirect damages arising from your use of or inability to use the Service.
IN ALL CASES, TIMPLI'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO TIMPLI DURING THE THIRTY (30) DAYS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion of certain damages. In such jurisdictions these limitations apply to the fullest extent permitted by law.
9. Third-Party Services
The Service may integrate with third-party services including payment processors, email providers, WhatsApp, authentication providers, and cloud hosting. These are subject to the terms and privacy policies of those third parties.
Timpli is not responsible for the availability, accuracy, security, or performance of third-party services. Disruptions in third-party services may affect Timpli features and we are not liable for resulting losses.
By using the Service, you acknowledge that your data may be transmitted to third-party providers as part of normal platform operations.
10. Governing Law & Jurisdiction
These Terms and any disputes arising from them shall be governed by the laws of the Republic of Panama without regard to its conflict of law provisions.
You agree that any legal action shall be brought exclusively in the courts of Panama City, Republic of Panama and you consent to the personal jurisdiction of such courts.
Notwithstanding the above, Timpli reserves the right to seek injunctive relief in any jurisdiction to protect its intellectual property.
11. Modifications
We may update these Terms at any time. We will notify you of material changes by email or platform notice with the effective date.
Continued use of the Service after the effective date of changes constitutes acceptance. If you disagree, you must discontinue use and cancel your subscription before the effective date.
